Terms of Service

1. Introduction

Welcome to Tally. These Terms of Service ("Terms") govern your access to and use of Tally's inventory management service (the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Tally is an inventory management platform designed for hobbyists, flippers, resellers, and side hustlers. The Service allows you to:

  • Track and manage product inventory
  • Store product information, pricing, and variants
  • Monitor stock levels and costs
  • Organize inventory data for your business
  • Collaborate with team members (on applicable plans)

3. Account Registration

3.1 Account Creation

To use the Service, you must create an account by providing accurate and complete information, including a valid email address and password.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your password
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

3.3 Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent that you meet this requirement.

4. Subscription Plans and Billing

4.1 Subscription Tiers

Tally offers multiple subscription tiers with different features and limitations:

  • Starter: Basic inventory management for individuals
  • Pro: Advanced features for growing businesses
  • Team: Collaboration features for small teams
  • Enterprise: Custom solutions for larger organizations

4.2 Payment Terms

Subscription fees are billed in advance on a monthly or annual basis (depending on your selected plan). All fees are non-refundable except as required by law or as explicitly stated in these Terms.

4.3 Price Changes

We reserve the right to change our pricing. We will provide advance notice of price changes, and changes will apply to subsequent billing periods.

4.4 Cancellation and Refunds

You may cancel your subscription at any time. Your cancellation will take effect at the end of your current billing period. We do not provide refunds for partial months or years, except as required by applicable law.

5. Use of the Service

5.1 Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Upload or transmit viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Reverse engineer, decompile, or disassemble the Service
  • Use the Service to harass, abuse, or harm others
  • Scrape, crawl, or use automated means to access the Service without permission
  • Resell or redistribute the Service without our written consent

5.2 Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, updates, or circumstances beyond our control.

6. Your Data

6.1 Data Ownership

You retain all ownership rights to the data you input into the Service ("Your Data"). By using the Service, you grant us a license to host, store, process, and display Your Data solely to provide the Service.

6.2 Data Responsibility

You are responsible for:

  • The accuracy and legality of Your Data
  • Maintaining backups of important data
  • Complying with data protection laws applicable to Your Data
  • Obtaining necessary rights to upload and process Your Data

6.3 Data Deletion

Upon account termination, we will delete Your Data within a reasonable timeframe, subject to our data retention obligations and backup procedures. You may request data deletion by contacting us at team@tally.sh.

7. Intellectual Property

7.1 Our Rights

The Service, including all software, designs, text, graphics, logos, and other content (excluding Your Data), is owned by Tally and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Service.

7.2 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, worldwide, royalty-free license to use and incorporate such feedback without compensation or attribution.

8. Organizations and Teams

If you create or join an organization on Tally:

  • The organization owner has administrative control and can manage members, permissions, and data
  • Organization data is accessible to authorized members according to their permissions
  • You are responsible for managing access and ensuring authorized use
  • The organization owner is responsible for the organization's subscription and compliance with these Terms

9. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

  • The Service will meet your requirements
  • The Service will be uninterrupted, secure, or error-free
  • Any errors or defects will be corrected
  • The Service is free from viruses or harmful components

Some jurisdictions do not allow exclusion of implied warranties, so some of the above limitations may not apply to you.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TALLY SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Service interruptions or data loss
  • Unauthorized access to or alteration of your data or transmissions

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR £100, WHICHEVER IS GREATER.

This limitation of liability does not apply to liability that cannot be excluded or limited by law, including liability for death or personal injury caused by our negligence or fraud.

11. Indemnification

You agree to indemnify, defend, and hold harmless Tally and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your Data or any content you submit

12. Termination

12.1 Termination by You

You may terminate your account at any time by canceling your subscription through your account settings or by contacting us.

12.2 Termination by Us

We may suspend or terminate your account if you violate these Terms, fail to pay fees, or engage in conduct we deem harmful to the Service or other users. We will provide notice when practicable.

12.3 Effect of Termination

Upon termination, your right to access and use the Service will cease immediately. Provisions of these Terms that by their nature should survive termination will survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through a prominent notice on the Service. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Service and may cancel your account.

14. Governing Law and Disputes

14.1 Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

14.2 Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Tally regarding the Service.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

15.5 Force Majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including acts of God, war, terrorism, civil unrest, labor disputes, or network failures.
